DTE Energy has agreed to sell DTE Vantage, its subsidiary focused primarily on renewable power, pipeline-quality gas and customized energy projects, to Velocity BidCo LLC for about $2.97 billion, subject to closing adjustments. The buyer is owned by institutional investors advised by J.P. Morgan Asset Management’s Global Infrastructure group.
The sale would transfer DTE Vantage out of DTE’s ownership, but it has not closed. The companies expect to complete the transaction in mid-2027, after obtaining regulatory approvals and meeting other closing conditions.
Key details
- Price: The stated purchase price is $2,970,672,573. The final amount will be adjusted based on DTE Vantage’s cash, debt, working capital, capital expenditures and transaction expenses at closing.
- What is being sold: DTE is selling all of DTE Vantage’s equity. The business is made up primarily of renewable energy projects that sell electricity and pipeline-quality gas, along with projects providing tailored energy solutions to industrial, commercial and institutional customers.
- Approval and timing: DTE’s board unanimously approved the transaction on October 30, 2026, and the parties signed the agreement on November 1. The sale cannot close before December 31, 2026, and is currently expected to close in mid-2027.
- Regulatory requirements: Closing depends on approvals in the United States and Canada, including federal energy and competition clearances, as well as approval or a ruling from New York regulators. The parties must also obtain specified third-party consents.
- Other closing conditions: The transaction can be blocked by a law or order prohibiting it. Other conditions include each side meeting its obligations, the accuracy of specified statements about the parties, no material adverse effect on DTE Vantage, and completion of certain internal reorganization steps before closing.
- Financing: The buyer’s obligation to complete the purchase is not conditional on obtaining financing.
- Until closing: DTE has agreed to keep DTE Vantage operating in the ordinary course, subject to exceptions. Certain actions would require the buyer’s consent.
- Deadline and termination fee: Either side may terminate if the transaction has not closed by August 1, 2027. That deadline can be extended by up to 90 days if certain regulatory approvals are the only outstanding conditions, with additional extensions possible for certain government closures. In specified termination circumstances, the buyer would owe DTE a fee of about $148.5 million.
Plain-English implications
If completed, the transaction will move ownership of DTE Vantage from DTE to the buyer in exchange for the agreed purchase price, adjusted at closing. The announcement does not specify how DTE plans to use the proceeds.
