Viatris reported third-quarter revenue of about $3.75 billion, broadly unchanged from a year earlier, and a U.S. GAAP net loss of $325 million. Adjusted EBITDA was $1.20 billion. The company also raised the midpoint of its 2026 guidance ranges across all key metrics and highlighted recent product approvals, shareholder returns and its planned acquisition of Pacira BioSciences.
The update comes as Viatris pursues a strategy that combines its existing medicines business with growth from newer products. The Pacira deal is expected to close by the end of November, but its contribution is not included in Viatris’ 2026 guidance.
Key details
- Quarterly performance: Total revenue was $3.7495 billion, compared with $3.7599 billion in the third quarter of 2025. Viatris reported a net loss of $325 million and adjusted EBITDA of $1.20 billion.
- Higher 2026 guidance midpoints: Viatris raised the midpoint of its guidance ranges for all key metrics, citing its third-quarter performance and confidence in the remainder of the year. It estimated 2026 cash from operating activities at $2.025 billion to $2.1 billion, with a midpoint of about $2.063 billion.
- Limits to the guidance: The updated 2026 outlook excludes any contribution from the planned Pacira acquisition, as well as transaction and restructuring costs and acquired in-process research and development from unsigned deals. Viatris did not provide forward guidance for U.S. GAAP net income or diluted earnings per share, or a quantitative reconciliation for its adjusted EBITDA or adjusted EPS guidance.
- Product approvals and launches: Viatris received U.S. regulatory approval for RYZUMVI for presbyopia and approval in Japan for WAKIX. The company also cited the recent U.S. launch of Gwyn Lo and said fast-acting meloxicam could be approaching approval and launch.
- Pacira acquisition: Viatris expects the planned acquisition to close by the end of November. Interim CFO Paul Campbell said the deal is expected to have minimal impact on the company’s gross leverage ratio at closing. The acquisition’s contribution is excluded from the 2026 guidance.
- Shareholder returns: Viatris said it returned approximately $717 million to shareholders year to date, including through share repurchases.
What changes for investors
The raised guidance midpoint signals a stronger 2026 outlook on Viatris’ existing business, but the forecast does not include Pacira or certain deal and restructuring costs. The company’s stated expectation that Pacira will have minimal initial impact on gross leverage gives a limited indication of the deal’s near-term balance-sheet effect; the announcement provides no acquisition price or other transaction terms here.
