The RealReal has added Sharmistha “Shar” Dubey to its board, expanding it from seven directors to eight. The appointment took effect November 3, and the company announced it publicly on November 5.
Dubey brings experience in consumer internet businesses, product leadership and corporate governance. She is currently chair of Fortive and previously led Match Group as chief executive.
Key details
- Dubey joins as a Class II director. Her term runs until the company’s 2027 annual meeting, when directors stand for election.
- She is chair of Fortive, an industrial and healthcare technology company, and has served on its board since 2020. She is also an operating partner at private equity firm Advent International and a director of Naspers and Prosus.
- Before joining those boards, Dubey was Match Group’s CEO from 2020 to 2022. Her earlier roles there included president and operating chief of Tinder, as well as product and other executive positions. She served on Match Group’s board from 2019 until June 2026.
- As a non-employee director, she will receive an annual cash retainer of $35,000 and an annual restricted-stock award valued at $165,000. The stock award generally vests after one year or just before the next annual meeting, whichever comes first, subject to her continued board service. Her first-year compensation will be prorated.
- The company said there is no arrangement behind her appointment and no transaction with Dubey that requires disclosure.
What changes
The board gains a director with senior operating experience at a large consumer internet company and board roles across several public companies. The appointment increases the board’s size, but the announcement does not describe a change in control or a broader strategic shift.
