Local Bounti has received a nine-month extension from the New York Stock Exchange to address a listing deficiency tied to its market capitalization and stockholders’ equity. Its shares will continue trading on the exchange during the extension, but the company must meet at least one of the NYSE’s financial thresholds by August 5, 2027.
- The NYSE first notified Local Bounti in February 2026 that it was out of compliance because its average global market capitalization over 30 consecutive trading days was below $50 million and its most recently reported stockholders’ equity was also below $50 million.
- The exchange accepted the company’s request for an additional nine months, extending the original November 5, 2026 deadline to August 5, 2027. That is the maximum 18-month cure period permitted under NYSE rules.
- To regain compliance, Local Bounti must achieve either an average global market capitalization of at least $50 million over a 30-trading-day period or total stockholders’ equity of at least $50 million by the end of the cure period.
- The shares will remain listed and traded on the NYSE during the extension, provided the company continues to meet the exchange’s other listing standards. The NYSE will review the company’s progress quarterly.
- The exchange could begin suspension and delisting proceedings before the deadline if it determines the company is not making sufficient progress.
- Local Bounti says it is considering options to regain compliance but gave no assurance it will meet the requirements or maintain its NYSE listing.
The extension gives Local Bounti more time to address the deficiency; it does not resolve it. Continued NYSE trading is conditional on the company’s progress and compliance with other listing requirements.
