DataMEDS AI has terminated a broad letter of intent covering several proposed acquisitions, intellectual-property arrangements and a license expansion, citing market conditions. The company said the termination is effective immediately and that it will not issue shares or owe fees or other obligations under the letter of intent.
The move ends a proposed package of stock-financed transactions, but does not cancel certain separate agreements already in place with REBOOT Health AI and Datavault AI.
Key details
-
The proposed transactions are off. The letter of intent contemplated acquiring certain intellectual-property assets from EOS Technology Holdings and Scilex Holding, expanding DataMEDS’ PharmacyChain license with Datavault, buying a controlling interest in Tollo Health, and entering into intellectual-property licensing and related product and service arrangements with REBOOT.
-
The proposed consideration was DataMEDS stock. The company said it will no longer issue shares related to the letter of intent. It also said it owes no fees or other obligations as a result of terminating it.
-
The termination does not undo separate agreements. DataMEDS’ exclusive REBOOT license for managing GLP-1 users, dated October 13, remains in effect. Its existing Datavault agreement for PharmacyChain manufacturer-to-patient smart contracts, dated November 24, 2025, also remains in effect; DataMEDS said no shares were issued to Datavault under that agreement.
-
Other standalone arrangements remain untouched. The termination applies only to the letter of intent and does not amend or end separate agreements, including consulting or employment arrangements. It also does not revive earlier proposals or understandings that the letter of intent had superseded.
Plain-English implications
DataMEDS has stepped away from the proposed stock-funded acquisitions and expansions, so those transactions will not proceed under this letter of intent. The company retains the specified REBOOT and Datavault agreements that were already in place.
