Acorn Energy reported higher third-quarter revenue and stronger operating cash flow, while completing its acquisition of generator-monitoring competitor Gen-Tracker. The quarter also included a new Champion Power Equipment partnership and Acorn’s purchase of the remaining 1% of OmniMetrix, making the monitoring-solutions business wholly owned.
Revenue growth was modest on a reported basis, but the company said comparisons were affected by the run-off of older deferred revenue. Gen-Tracker is expected to add recurring monitoring revenue, with its first full quarter of contribution coming in the fourth quarter.
Financial results
- Third-quarter revenue rose 4.6% to $2.59 million from $2.48 million a year earlier. Monitoring revenue was nearly flat at $1.55 million, while hardware revenue increased 13.4% to $1.04 million.
- Underlying growth was stronger after adjustments described by the company. Excluding deferred revenue tied to older hardware and monitoring units that were never installed, and excluding Gen-Tracker’s contribution, Acorn said revenue would have grown 18.8%. On that basis, monitoring revenue increased 5.1% and hardware revenue 45.9%.
- The reported comparison was affected by revenue from older sales: the prior-year quarter included $215,000 of amortized deferred hardware revenue, versus $5,000 this quarter, and $178,000 of prepaid monitoring revenue for units never installed, versus $30,000 this quarter.
- Gross margin improved to 80.5% from 78.5%.
- Net income attributable to stockholders was $940,000, or $0.37 per diluted share, compared with $252,000, or $0.10 per share, a year earlier. The company said the quarter’s earnings included a benefit from reducing the valuation allowance on deferred tax assets. Its release gives two different figures for that benefit: $780,000 in the financial-results footnote and $730,000 in the CEO’s remarks.
- Acorn reported that it generated approximately $1 million of cash from operations in the quarter.
- For the first nine months of 2026, revenue fell 19.7% to $7.31 million. Monitoring revenue rose 5.9% to $4.39 million, but hardware revenue declined 41.1% to $2.92 million. Gross margin increased to 81.0% from 75.9%; net income was $1.16 million, down from $1.44 million.
Acquisition and commercial developments
- Acorn completed its acquisition of Gen-Tracker, a generator-monitoring competitor, through its OmniMetrix subsidiary. Gen-Tracker monitors generators through automatic transfer switches, complementing OmniMetrix’s historical focus on generator controllers.
- Gen-Tracker is expected to add about $1.1 million in annual recurring monitoring revenue. Its four employees have joined OmniMetrix, and Acorn is moving its customer accounts onto the company’s platform and operating and collection processes. The fourth quarter will be Gen-Tracker’s first full quarter of contribution. Acorn said it expects the acquisition to add to earnings as the business is integrated and execution continues.
- Acorn acquired the remaining 1% of OmniMetrix in an all-stock exchange, bringing its ownership to 100%.
- Champion Power Equipment received its first stocking shipment of Acorn monitoring hardware in the third quarter. Acorn is training Champion’s dealers through webinars and other support; the company said dealer adoption will take time.
- Acorn also reported several proof-of-concept deployments of OMNI360, its cell-tower monitoring solution, alongside demonstration towers. It said customer interest has been encouraging.
What changes for investors
Gen-Tracker expands Acorn’s monitoring portfolio and customer base, and brings a stated recurring-revenue contribution that should be reflected for a full quarter beginning in Q4. Acorn’s reported nine-month revenue remains below the prior year because of weaker hardware sales, while third-quarter profitability was boosted in part by a deferred-tax benefit rather than solely by operating performance.
