Green Plains has agreed to sell production tax credits generated by its ethanol operations during 2026 to two institutional buyers. The deal covers at least $250 million and up to $325 million of credits, subject to their generation and availability and other conditions.
The arrangement turns the credits into cash proceeds as they are transferred. Green Plains has not disclosed the purchase price; it will reflect a market-based discount to the credits’ value.
- Credits covered: The credits arise under Section 45Z and relate to ethanol produced at Green Plains’ operating facilities from Jan. 1 through Dec. 31, 2026.
- Sale range: Green Plains has committed to supply at least $250 million of credits, while the buyers have committed to purchase up to $325 million in total. The amounts remain subject to generation, availability and other conditions.
- Payment timing: Buyers pay for each tranche when the corresponding credits are delivered. Proceeds tied to credits generated in the first half of 2026 are expected in the fourth quarter of 2026. Payments for third- and fourth-quarter credits, along with any final adjustments, are expected in the first half of 2027.
- Buyers and payment support: One buyer, a U.S. life insurer, will acquire up to $5 million of credits in the final funding tranche. An investment subsidiary of a large engineering and construction company will acquire the balance; its payment obligations are guaranteed by its parent. The buyers have represented that they will have cash or access to immediately available funds for payments.
- Tax-law protection: If a tax-law change limits or prevents the transfer or use of some credits, Green Plains must return to the affected buyer the portion of the purchase price attributable to those credits, plus interest. The arrangement otherwise remains in place for unaffected credits.
Investor implications: The sale gives Green Plains a way to monetize 2026 production credits through staged payments rather than retain them for its own use. The total proceeds will depend on the credits generated and available for transfer, and the confidential discounted purchase price means the announced credit amounts do not indicate the cash Green Plains will receive.
