Sumisho Air Lease has begun exchanging up to $4 billion of outstanding senior notes for registered notes with the same principal amount, interest rate and maturity. The offer covers four note series due from 2028 through 2036 and is intended to meet the company’s registration obligations tied to the original issuance.
The exchange changes the notes’ registration and transfer status, not their core payment terms. Sumisho Air Lease will receive no proceeds from the offer.
- Notes covered: Up to $800 million of 4.400% notes due 2028, $1.2 billion of 4.500% notes due 2029, $1.5 billion of 4.850% notes due 2031 and $500 million of 5.500% notes due 2036.
- Like-for-like exchange: Holders may exchange outstanding notes for the same principal amount of the corresponding registered series. The exchange notes retain the same interest rates and maturity dates.
- What changes: The new notes are registered and will not carry the transfer restrictions, restrictive legends, registration rights or additional-interest provisions that apply to the outstanding notes.
- Timing: The offer is scheduled to expire at 5 p.m. New York time on December 1, 2026, unless extended. Settlement is expected promptly after the offer expires.
Investor implications: For holders who exchange, the principal amount, coupon and maturity remain unchanged; the main difference is the removal of restrictions associated with the unregistered notes. The transaction does not raise new capital or, by itself, change the company’s total principal debt outstanding.
