Repligen is arranging a $1 billion convertible-note financing that combines a refinancing of part of its 2028 debt with a new cash raise. The new notes carry a lower interest rate and mature in 2031, while the cash proceeds will help fund a share repurchase and general corporate needs, including potential acquisitions or investments.
The transactions are expected to close around November 6, subject to customary conditions. Afterward, about $143.2 million of the existing 2028 notes will remain outstanding on their current terms.
Key details
-
How the $1 billion is being raised: Repligen will issue about $541.4 million of new notes in exchange for $456.8 million principal amount of its 2028 notes. It will issue the other $458.6 million of new notes to investors for cash. The company will receive no cash from the exchange portion.
-
Use of the cash: Repligen estimates gross cash proceeds of about $458.6 million, before placement-agent fees and other expenses. It plans to use about $120 million of the net proceeds to repurchase its common stock from certain note purchasers at $188.64 per share, the stock’s closing price on October 29. The remainder is intended for working capital and general corporate purposes, including possible acquisitions or investments in complementary businesses, products, services and technologies.
-
A separate stock purchase by the placement agent: The placement agent intends to buy about $30 million of Repligen shares from certain transaction participants through a financial intermediary, at a discount to the October 29 closing price. Repligen noted that its repurchase and the agent’s purchases could raise the market price of the common stock or the new notes, or reduce the size of any decline.
-
Interest and maturity: The new notes are senior unsecured obligations, mature November 1, 2031, and carry annual interest of 0.25%, payable twice a year starting May 1, 2027. Repligen’s existing 2028 notes carry a 1.00% rate, so the exchanged debt will have a lower coupon and a later maturity.
-
Conversion terms: Holders may convert the new notes in specified circumstances and periods. The initial conversion price is about $226.37 per share, roughly 20% above Repligen’s October 29 closing price. For converted notes, Repligen must pay cash up to the principal amount; it can choose to pay any conversion value above principal in cash, shares or a combination.
-
Repligen’s redemption rights: Starting November 6, 2029, the company may redeem some or all of the notes for principal plus accrued interest if its share price meets a specified threshold—at least 130% of the then-current conversion price on 20 trading days in a 30-day period. A partial redemption requires at least $100 million of notes to remain outstanding and not subject to redemption. Under certain conditions, Repligen may also redeem all the notes if less than $100 million remains outstanding.
-
Protection in a major corporate change: In specified circumstances, holders may require Repligen to repurchase all or part of their notes for cash at principal value plus accrued and unpaid interest.
Plain-English implications
The financing moves part of Repligen’s debt maturity from 2028 to 2031 and lowers the stated interest rate on the exchanged portion. The cash issuance also brings in new capital, but some of the proceeds are earmarked for a stock repurchase. The notes’ conversion feature creates potential share dilution if conversion value exceeds principal and Repligen elects to settle that excess in shares.
