KLX Energy Services has refreshed its board, appointing Franklin S. Edmonds Jr. and E. Dirk Hallen as independent directors and accepting the immediate resignations of John Collins and Tom McCaffrey. The changes leave the board with two new members in place of two departing directors.
- Edmonds and Hallen joined the board effective October 29, 2026. The company designated Edmonds to serve as a Class II director through the 2029 annual meeting and Hallen as a Class III director through the 2027 annual meeting, unless either leaves earlier.
- Both new directors joined the Nominating and Corporate Governance Committee. Edmonds also joined the Audit Committee, while Hallen joined the Compensation Committee.
- The board determined that both are independent. The company said neither departure was related to a disagreement over its operations, policies or practices.
- Edmonds and Hallen will receive the company’s standard compensation for non-employee directors.
What changes: KLX has replaced two directors with two independent members, while adding Edmonds to audit oversight and Hallen to compensation oversight. The disclosed changes do not indicate a shift in the board’s overall size or a change in company control.
