ADT has agreed to be acquired for $10 per share in cash by Abode Parent, under a merger agreement unanimously approved by ADT’s board. If the deal closes, ADT will become a wholly owned subsidiary of Abode Parent.
The transaction still requires approval from ADT shareholders and clearance under U.S. antitrust rules, among other customary conditions. ADT can seek a competing offer for a limited period after signing.
Key details
-
Cash consideration: Each outstanding share of ADT common stock and Class B common stock will be converted into the right to receive $10 in cash, without interest. Shares held by Abode Parent or its merger subsidiary, shares held in ADT’s treasury, and shares subject to properly exercised appraisal rights are excluded from that payment.
-
Treatment of employee awards: Vested stock options and restricted stock units will be settled in cash at closing, if they have value. Option payouts are reduced by the option’s exercise price; options with an exercise price of $10 or more will be canceled without payment. Unvested options and restricted stock units will be converted into contingent cash rights, generally retaining their existing service- or performance-based vesting conditions.
-
A limited window for competing bids: Until November 29, 2026, ADT may solicit and negotiate alternative proposals and share nonpublic information with potential bidders. Through December 8, ADT may continue discussions with certain parties that made an inquiry or proposal during that initial period and that ADT’s board considers likely to produce a superior offer.
-
Restrictions after the bid window: After the go-shop period, ADT generally cannot seek out or negotiate with other bidders. Before shareholders vote, it may still engage with a qualifying unsolicited written proposal if the board determines it could lead to a superior offer and that doing so is necessary to meet its fiduciary duties.
-
The board can respond to a better offer: Before shareholder approval, the board may change its recommendation or end the agreement to sign a definitive agreement for a superior proposal, subject to specified procedures. Those include giving Abode Parent an opportunity to improve its terms. If the board changes its recommendation but does not terminate the deal, ADT must still hold the shareholder vote.
-
Timing and closing conditions: The deal requires ADT shareholder approval, the expiration or early end of the applicable U.S. antitrust waiting period, and the absence of legal restraints that would prohibit the merger. Either side may terminate the agreement if the transaction has not closed by July 29, 2027.
-
Operating limits before closing: ADT agreed to operate in the ordinary course and seek Abode Parent’s consent before taking certain actions. It also cannot declare or pay dividends before closing without the buyer’s consent.
-
Termination fee: The agreement provides for a fee payable by ADT to Abode Parent in specified circumstances.
Plain-English implications
The proposed deal would replace public ownership of ADT with ownership by Abode Parent, while paying eligible shareholders a fixed $10 per share in cash. The go-shop period gives ADT an initial opportunity to solicit competing bids, but that flexibility narrows after the specified deadlines.
