Dynamix Corporation plans to wind down after failing to complete a business combination before its deadline. The company will redeem all outstanding public shares for an estimated $10.71 each, then dissolve and liquidate.
Trading in Dynamix securities on Nasdaq is scheduled to end on October 29, 2026. Public shares will be cancelled at the close of business on October 30 and thereafter represent only the right to receive the redemption payment.
Key details
- Estimated payout: Public shareholders are expected to receive about $10.71 per share in cash. The final amount will be based on the money remaining in Dynamix’s trust account, including interest, divided among the outstanding public shares.
- Timing and payment: Dynamix says it will redeem the shares as soon as reasonably possible, and no later than 10 business days after October 30, subject to available funds and applicable law. Shareholders do not need to take action: the transfer agent will mail checks to registered holders, while payments to shares held through brokers will be handled through the usual channels.
- Trust-account deductions: The payout reflects permitted withdrawals for working capital and taxes, as well as up to $100,000 of trust interest for dissolution expenses. Other costs of winding down are to be paid from funds outside the trust.
- Warrants: Dynamix warrants will receive no redemption or liquidation payment and will expire worthless. The sponsor, officers and directors had also waived rights to trust-account liquidating distributions on their Class B shares.
- Wind-down: Dynamix will stop operating except as needed to wind up. After redeeming public shares, it plans to dissolve and liquidate, subject to shareholder and board approval and its obligations to provide for creditor claims.
What changes for investors: Public shareholders will cease to own Dynamix shares when they are cancelled and will instead have a right to the cash redemption amount. Warrant holders will receive nothing from the liquidation.
