Bandwidth has added technology investor Chip Schroeder to its board, expanding it from five members to six. The appointment took effect October 28 and adds an independent director with experience advising technology businesses on strategy, capital allocation and growth.
- Schroeder, whose full name is Charles R. Schroeder, spent more than a decade at Silver Lake, where he rose to managing director. His experience includes work with businesses in digital infrastructure, fintech, software and entertainment, as well as service on portfolio-company boards.
- He will serve as a Class II director. Bandwidth has not yet decided which board committees, if any, he will join.
- The company said four of its six directors are independent.
- Schroeder will receive the same compensation as Bandwidth’s other non-employee directors, including restricted stock units tied to the company’s Class A shares. He also signed a standard agreement covering director indemnification and expense advances.
What changes: Bandwidth gains an additional independent board member, bringing the board to six. The announcement does not specify a committee assignment or describe any other changes to the company’s leadership or strategy.
