Enerpac Tool Group amended its agreement to acquire Specialized Fabrication Equipment Group, updating how certain employee transaction bonuses will be delivered and clarifying parts of the closing-price adjustment. The acquisition was agreed to in July; this amendment changes some employee award arrangements and adds a related closing condition.
-
Some bonuses will be paid in stock awards rather than cash. Certain transaction bonuses owed to SFE Group personnel at closing will be delivered as restricted stock units (RSUs) to designated recipients. The change applies to those specified bonuses, not necessarily all transaction bonuses.
-
The awards will come from a new Enerpac plan. The RSUs will be issued under Enerpac’s newly adopted Inducement Award Plan instead of its 2017 Omnibus Incentive Plan. The new award agreements replace previously signed agreements under the 2017 plan. Vesting, forfeiture and service requirements are intended to remain materially consistent, apart from changes needed to use the new plan.
-
Recipients must sign the new award agreements for the deal to close. Each designated recipient must execute an agreement under the Inducement Award Plan. That requirement is now part of the conditions to the parties’ obligation to complete the acquisition.
-
The amendment also updates related employee documents. It provides for amended and restated reinvestment and lock-up agreements for certain key SFE Group stakeholders, and acknowledgment and release agreements for specified individuals. The amendment does not describe the detailed terms of those documents.
-
Closing calculations will account for amounts Enerpac pays before the deal closes. The merger agreement’s adjustment provisions are clarified to address cash Enerpac pays to SFE Group or its subsidiaries, as well as SFE Group debt or transaction expenses that Enerpac pays or settles on their behalf before closing. Those amounts are to be reflected in the calculation of the merger consideration adjustment.
For investors, the central change is that part of the employee bonus obligation will be settled in Enerpac equity awards rather than cash, while the award conditions remain broadly similar. The amendment does not announce a new total acquisition price or closing date.
