GoodRx Holdings said it will restate its financial statements for the first and second quarters of 2026 after finding that it failed to recognize some Pharma Direct revenue in the periods when it should have been recorded. The error understated both Pharma Direct revenue and total revenue.
The company also expects to report one or more material weaknesses in its financial reporting controls for each affected quarter. Its review is ongoing, and the size of the accounting adjustments has not yet been finalized.
- Periods affected: The March 31 and June 30, 2026 quarterly and year-to-date financial statements. GoodRx said it has not identified an impact on financial statements for periods before 2026.
- Nature of the error: Some revenue from certain Pharma Direct transactions was not recognized in the appropriate period under the applicable accounting rules.
- Restatement plans: GoodRx intends to amend its quarterly financial statements for both affected periods as soon as practicable. The company said the expected effects remain preliminary; the announcement provided no quantified revisions.
- Control issues: GoodRx is assessing the effect of the restatements on its internal financial controls. It currently expects that one or more material weaknesses existed at the end of each affected period.
The restatement means GoodRx’s previously reported revenue figures and related financial information for the first half of 2026 should not be relied upon. The final adjustments and the full scope of the control issues remain under review.
