U.S. GoldMining has appointed John DeLucchi to fill a vacancy on its board and named him chair of the audit committee, adding an experienced accountant and corporate executive to its governance team. The appointment also addresses a Nasdaq audit-committee compliance issue that arose after a director resigned.
The company framed DeLucchi’s appointment as supporting its strategic growth and the advancement of the Whistler gold-copper project in Alaska. The announcement did not provide new project or development details.
Key details
-
Board and audit committee: The board unanimously appointed DeLucchi effective November 2, 2026. He fills the vacancy left after Aleksandra Bukacheva resigned from the board and audit committee.
-
Nasdaq compliance: Nasdaq notified U.S. GoldMining in August that the resignation had left the company short of the audit committee members required by its listing standards. The company says DeLucchi’s appointment restores compliance with those requirements.
-
DeLucchi’s background: He spent more than 35 years at PwC, including 21 years as a partner, and led the firm’s British Columbia region from 2009 to 2017. He also served on PwC Canada’s national board. More recently, he was president and CEO of Madison Group from 2020 through October 2026, and president and CEO of Madison Pacific Properties from 2023 to 2025. He is a Fellow Chartered Professional Accountant and remains a director of Madison Pacific Properties.
-
Compensation: DeLucchi will receive an annual cash retainer of US$10,000 as a non-employee director, plus US$2,500 annually for chairing the audit committee.
-
Stock option: He received an option to buy 10,000 U.S. GoldMining shares at US$5.71 each, the stock’s closing price on the grant date. The five-year option vests in four equal installments: 25% immediately and another 25% at six, 12 and 18 months, subject to his continued service. Vesting accelerates upon a change in control.
Plain-English implications: The appointment fills a board vacancy and puts a new chair in place for the audit committee, resolving the compliance shortfall the company attributed to the prior director’s resignation. DeLucchi’s finance and governance experience is relevant to that committee role.
