SurgePays has signed a prepaid wireless purchase commitment with Zulie Venture, which operates the Etime system payments network and the CellPay brand. Etime system has agreed to buy at least $4 million of prepaid airtime, top-ups and refills each month during the agreement’s initial one-year term.
The commitment establishes a minimum level of purchase volume through SurgePays’ retail sales and payments platform. The stated $48 million is transaction volume—not SurgePays’ revenue or profit.
- Minimum volume: Etime system committed to at least $4 million in purchases per calendar month, or $48 million over the initial term, which runs from Oct. 1, 2026, through Sept. 30, 2027.
- How shortfalls are handled: If Etime system falls short of a month’s minimum, it must make up the difference through additional transactions by the end of the following month, on top of that month’s own minimum.
- Renewal terms: The agreement renews automatically for successive 12-month periods at the same minimum purchase levels unless either party gives at least 30 days’ written notice before the current term ends.
- Operations: Transactions began in October and are processed through SurgePays POS. Etime system’s payments network serves more than 1,000 retail merchant locations nationwide.
- Existing arrangements: The companies’ existing written business agreements continue to govern their operational and commercial relationship.
- Financial distinction: The $4 million monthly and $48 million annual figures are prepaid wireless purchase volume, measured net of discounts, refunds and reversals. SurgePays says the revenue and gross profit it recognizes from that volume may be significantly lower.
- Execution caveat: The company says there is no assurance Etime system will meet the committed volumes or that the agreement will produce recurring volume or renew.
The agreement sets a minimum purchase commitment, rather than a stated revenue or profit target for SurgePays. Its financial contribution will depend on the revenue and margin the company earns on the transactions actually completed.
