Stellar V Capital shareholders approved an extension giving the blank-check company until July 31, 2027, to complete a business combination, nine months beyond its previous Oct. 31, 2026 deadline. The board can set an earlier date.
To encourage shareholders to leave their shares in the company rather than redeem them as part of the extension, Stellar V also agreed to provide bonus shares to certain investors if the company later completes a business combination.
Key details
- The extension was approved at the company’s Oct. 29 shareholder meeting. Stellar V’s deadline to complete a merger or similar transaction is now July 31, 2027, unless the board chooses an earlier date.
- Under agreements with participating shareholders, the company will issue one Class A ordinary share for every five eligible shares an investor retains. The shares come at no additional cost and would be issued immediately after the closing of Stellar V’s initial business combination.
- To qualify, an investor must hold the relevant shares at 5:30 p.m. New York time on the meeting date and must not redeem them in connection with the meeting. The company must also implement the extension and meet applicable exchange-listing requirements after the meeting.
- The agreements are intended to leave more money in Stellar V’s trust account after the meeting by discouraging redemptions.
- The agreements end if shareholders do not approve the extension, the company liquidates, the parties mutually agree to end them, or an investor exercises redemption rights over the shares covered by the agreement, among other conditions.
Implications
The extension gives Stellar V more time to pursue a business combination. If it completes one, the bonus-share arrangement will increase the share count for the benefit of participating investors, creating potential dilution for other shareholders. The disclosed terms do not specify how many investors or shares are covered by the agreements.
