Enerpac Tool Group has completed its acquisition of Specialized Fabrication Equipment Group, adding a portfolio of pipe-fabrication, welding, machining and maintenance-tool businesses. The deal gives Enerpac greater exposure to several industrial end markets, including aerospace and defense, energy, semiconductors, data centers and healthcare.
Enerpac paid approximately $452 million in cash for SFE Group’s equity, with the cash amount subject to customary closing adjustments. It also issued about $20 million in restricted stock unit awards to key SFE personnel instead of paying them transaction bonuses in cash.
Key details
- SFE’s recent scale: For the 12 months ended March 31, 2026, SFE Group generated approximately $170 million in sales and $44 million in adjusted EBITDA.
- Portfolio of brands: SFE’s businesses include Climax, B&B Sumner, Axxair, Sumner Material Lifts, TAG, Mathey Dearman, Magnatech, Bortech, Fit-Up Pro, H&S Tool, PPM and Calder.
- Expected earnings contribution: Enerpac said the acquisition is expected to be accretive to adjusted earnings per share in fiscal 2027. It did not provide a quantified estimate in the announcement.
- Executive share purchases: Three SFE executives will use a combined approximately $10.9 million of their cash merger proceeds to buy Enerpac shares in open-market transactions. The purchases must be made within 15 trading days after closing, when Enerpac is not in a blackout period.
- Three-year holding restriction: The executives are restricted from selling or otherwise transferring the shares they purchase until the third anniversary of the October 28 closing. The $10.9 million is part of the cash consideration paid to the executives, not an additional purchase cost for Enerpac.
- Further financial information: SFE’s financial statements and combined pro forma financial information are to be provided in a later update.
The acquisition adds SFE’s established tool brands and customer exposure to Enerpac’s existing industrial equipment business. The executive share-purchase arrangements also tie a portion of three SFE executives’ merger proceeds to Enerpac stock, with those shares subject to a three-year transfer restriction.
