Bausch + Lomb director Nathalie Bernier resigned from the board and its Science and Technology Committee, effective at the close of business on Oct. 28. The company said it does not currently plan to fill the resulting vacancy.
- As part of her departure, Bausch + Lomb will pay Bernier prorated cash compensation for her board service.
- Her outstanding, unvested restricted share units from the 2026 annual award will vest in full ahead of schedule.
- The arrangements accompany a general mutual release of certain claims.
- The company said Bernier’s resignation was not related to a disagreement over its operations, policies or practices.
What changes: The board will have one fewer director, with no replacement planned for now. Bernier’s 2026 share award will also vest sooner than it otherwise would have.
